Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Foundable AI ("Foundable AI", "we", "us", or "our") and govern your access to and use of our websites, applications, and related services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.

2. Subscription, Trials, and Billing

• Paid plans are billed in advance on a recurring basis (monthly or annual) and renew automatically until cancelled.
• Fees are non-refundable except where required by law or expressly stated by us in writing.
• We may change pricing with prior notice; changes apply to the next renewal term.
• Applicable taxes are added where required.
• Trials, promotional offers, and "Early Access" features may be modified or discontinued at any time.

3. Acceptable Use

You agree not to, and not to permit others to:

• Use the Service to violate any law, regulation, or third-party right.
• Submit or scan content you are not authorized to submit or analyze.
• Reverse engineer, decompile, or attempt to derive source code, except where permitted by law.
• Circumvent rate limits, access controls, or security features.
• Use the Service to build a competing product, resell the Service, or scrape at scale outside documented interfaces.
• Upload malicious code, spam, harassing, defamatory, or infringing material.

4. Your Content and License to Us

You retain ownership of the content, data, URLs, and materials you submit ("Customer Content"). You grant Foundable AI a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and create derivative works from Customer Content solely to provide and improve the Service, including generating scans, analyses, recommendations, and AI-assisted output.

5. AI-Generated Output

The Service uses artificial intelligence to produce insights, copy suggestions, scores, and recommendations ("Output"). Output may be inaccurate, incomplete, or unsuitable for your circumstances. You are responsible for reviewing Output before relying on or publishing it. Foundable AI makes no guarantee that Output is accurate, error-free, or fit for a particular purpose. Output is not legal, financial, medical, or professional advice.

6. Third-Party Platforms and Integrations

The Service may reference or interact with third-party platforms (for example, Google, AI model providers, review platforms, and calendars). Foundable AI is not affiliated with or endorsed by those platforms except where expressly stated. We do not warrant that we can register, submit, or list your business on any third-party AI platform. Third-party services are governed by their own terms.

7. Intellectual Property

Foundable AI and its licensors retain all right, title, and interest in and to the Service, including all software, models, methodologies, scoring frameworks, and trademarks. No rights are granted except as expressly set forth in these Terms.

8. Feedback

If you provide feedback, suggestions, or ideas, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction.

9. Confidentiality

Each party will protect the other's non-public information disclosed under the Service with the same degree of care it uses for its own confidential information, and no less than a reasonable degree of care.

10. Suspension and Termination

We may suspend or terminate your access to the Service if you breach these Terms, if required by law, or to protect the Service or other users. You may cancel your subscription at any time from your account settings; cancellation takes effect at the end of the current billing period.

11. Disclaimers

The Service and all Output are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. Foundable AI does not warrant that the Service will be uninterrupted, secure, or error-free, or that Output will meet your requirements.

12. Limitation of Liability

To the maximum extent permitted by law, in no event will Foundable AI, its affiliates, officers, employees, or agents be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for lost profits, revenues, goodwill, or data, arising out of or related to the Service, even if advised of the possibility of such damages. Foundable AI's aggregate liability for any claim arising out of or relating to the Service is limited to the amounts you paid to Foundable AI for the Service in the twelve (12) months preceding the event giving rise to the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless Foundable AI from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your Customer Content, your use of the Service, or your breach of these Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not subject to arbitration. Where permitted by law, disputes will be resolved through binding individual arbitration, and you waive any right to a jury trial or class action.

15. Changes to the Terms

We may modify these Terms at any time. Material changes will be notified through the Service or by email. Continued use after changes take effect constitutes acceptance.

16. Miscellaneous

These Terms are the entire agreement between you and Foundable AI regarding the Service. If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our prior written consent; we may assign freely.
